​Sell-Side projects can be divided into two different types: Vendor Due Diligence and Vendor Assistance.


A Vendor Due Diligence (or Vendor-initiated Due Diligence) is a comprehensive Financial Due Diligence that is presented in an independent report which can be forwarded to interested parties.


Vendor Assistance is a broader term and can include assistance in any stage of the Sales Process, from preparation of information in a Carve-Out situation to data room population to preparing a Fact Book and leading Q&A sessions with potential Buyers.


In both cases, Vendor Due Diligence and Vendor Assistance aim to streamline and speed up the sale process, limit the day-to-day involvement of Seller’s and Target’s personnel and to provide a consistent set of information as the basis for evaluating Target’s business by the interested parties.


Our Due Diligence professionals are experienced in both Buyer and Seller-initiated Due Diligence projects and therefore know most of the questions before they are asked in the Data Room or the Q&A phase.
