Rödl & Partner advised ARI-Armaturen on its acquisition of Warren Controls, Inc.

Atlanta, Georgia, August 14, 2024: Rödl & Partner advised ARI-Armaturen Albert Richter GmbH & Co. KG (ARI) on its acquisition of Warren Controls, Inc., a manufacturer and assembler of control valves and related components. Warren Controls, based in Bethlehem, Pennsylvania, specializes in the naval, marine, HVAC and diverse industrial sectors.

This acquisition marks a significant step in ARI's strategic plan to expand its foot-print in the U.S., further solidifying its standing as a global market participant in the valve industry. The integration of Warren Controls into ARI's operations is expected to enhance the company’s product portfolio, enabling it to offer a broader array of products and services to its customers. Warren Controls, Inc., a well-established entity in the U.S. valve market, has been a key player since its founding in the early 1950s.

The team provided critical support in buy-side financial and tax due diligence, deal negotiation, and purchase contract drafting assistance. The transaction was successfully completed on August 12th, 2024.
