​Deal negotiations typically start even before agreeing to a Letter of Intent and continue throughout the contract drafting stages. Our team of Transaction Services professionals will assist your legal advisors in Financial and Tax matters including the Transaction Structuring.

Negotiation Assistance may include, but are not limited to, the determination of a Working Capital Target, the definition of Net Debt, assistance in Transition Service Agreements, Earn-Out clauses, identification of relevant representations, and warranties pertaining to financial and tax matters, etc.

Make sure you contact us prior to negotiating a Letter of Intent, Memorandum of Understanding or similar document. While the nature of a Letter of Intent is non-binding, certain aspects should be agreed at that time and subsequent renegotiations may not be easy.
